1. Acceptance of Terms
By accessing californiosmfg.com, interacting with our quotation portals, uploading design files, or placing an order (collectively, the "Services"), you (the individual or entity using the Services) accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
2. Eligibility & Account Security
- You affirm that you are at least 18 years old and have authority to bind the business you represent.
- You are responsible for keeping passwords, API keys, and Supabase or Netlify credentials confidential and for all activity that occurs under your account.
3. Scope of Services
Californios Manufacturing LLC ("Californios," "we," "our," "us") provides:
- Custom-part manufacturing (CNC machining, 3-D printing, composite lay-up, design-for-manufacture analysis).
- Online tools for quoting, order tracking, and file transfer (hosted on a Next.js / Supabase / Netlify / Resend stack).
- Ancillary consulting on compliance with ABYC, ISO, SOLAS, MIL-STD, and U.S. government procurement rules.
The Services and parts manufactured are primarily intended for commercial, industrial, or governmental use.
4. Quotations & Orders
- Quotes are valid for 30 days unless stated otherwise.
- A binding contract is formed only when we send a written order acknowledgment or start production.
- Payment Terms: 35% due with order, balance due prior to shipment. Late payments accrue interest at 1.5% per month (or the maximum rate allowed by law).
- Shipping Terms: FOB Origin (Oceanside, CA) unless otherwise agreed in writing. Customer bears all freight, insurance, duties, and taxes. We comply with Cal. B&P Code § 17538. If we are unable to ship your order within 30 calendar days after accepting payment, we will e-mail you a revised ship date and the option to cancel for a full refund.
5. User-Submitted Content (User Content)
- You retain ownership of CAD files, drawings, and other materials you upload ("User Content").
- You grant Californios a world-wide, royalty-free license to use, reproduce, modify, and manufacture from the User Content solely to fulfill your order. We do not pre-screen User Content, but reserve the right to refuse or remove content that violates these Terms or is otherwise objectionable.
- You warrant that (i) you have all necessary rights in the User Content, and (ii) the manufacture, export, or sale of resulting parts will not infringe any third-party rights (including intellectual property rights) or violate export-control regulations (ITAR/EAR).
6. Acceptable Use of Services
You agree not to (i) upload malware, viruses, or any files that contain malicious code; (ii) reverse-engineer, decompile, or disassemble any part of the Services; (iii) scrape, crawl, data-mine, or harvest data from the Services; (iv) interfere with or disrupt servers or networks connected to the Services; (v) attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks; or (vi) use the Services for any unlawful purpose or in violation of any export-controlled regulations.
7. Intellectual Property
All site design, text, graphics, user interfaces, visual interfaces, photographs, trademarks, service marks, logos, sounds, music, artwork, and computer code (collectively, "Site Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Site Content, contained on the Services is owned, controlled, or licensed by or to Californios, and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights and unfair competition laws. Except for the limited license granted in Section 5 for User Content, no part of the Services and no Site Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including "mirroring") to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without Californios' express prior written consent.
8. Confidentiality & Non-Disclosure
Each party agrees to keep the other's non-public business, technical, and pricing information confidential for five (5) years after disclosure and to use it only to perform under these Terms. This obligation shall not apply to information that (i) is or becomes publicly known through no fault of the receiving party; (ii) was in the receiving party's rightful possession prior to disclosure; (iii) is rightfully received by the receiving party from a third party without a duty of confidentiality; or (iv) is independently developed by the receiving party without reference to the disclosing party's confidential information. Any separately executed Non-Disclosure Agreement (NDA) with terms stricter than this clause shall supersede this clause with respect to the subject matter of such NDA.
9. Tooling Ownership & Maintenance
Unless otherwise agreed in writing, all tooling, molds, dies, patterns, jigs, and fixtures specifically developed or acquired by Californios for the production of Customer's parts shall remain the property of the Customer upon full payment for such tooling. Customer shall bear the costs of any upgrades, modifications, or refurbishment required for such tooling. Californios agrees to store and maintain Customer-owned tooling with reasonable care as long as active orders are being placed for parts produced from such tooling, or as otherwise agreed in writing. Californios shall not be liable for normal wear and tear of tooling.
10. Quality, Inspection & Acceptance
Parts are deemed accepted ten (10) calendar days after delivery unless you give written notice to Californios specifying in detail any non-conformities. Our liability for non-conforming parts, as verified by us, is limited, at our option, to repair, replacement, or credit for the non-conforming parts. You must return non-conforming parts to us at our request and cost for inspection.
11. Limited Warranty
Californios warrants that parts manufactured by us will conform to the written specifications agreed upon in the order acknowledgment for a period of ninety (90) days after shipment. This warranty excludes, and we are not responsible for, any damage or non-conformity caused by: (i) misuse, abuse, or improper installation; (ii) modification or alteration by anyone other than Californios; (iii) normal wear and tear; (iv) exposure to environments or conditions beyond stated design limits or industry standards; or (v) non-compliance with any instructions provided by Californios.
For consumer sales to California residents meeting the requirements of the Song-Beverly Consumer Warranty Act, this Limited Warranty provides specific legal rights. You may also have other rights which vary from state to state, including any applicable rights under the Song-Beverly Consumer Warranty Act.
12. DISCLAIMER OF WARRANTIES
EXCEPT FOR THE EXPRESS LIMITED WARRANTY PROVIDED IN SECTION 11, THE SERVICES AND ALL PARTS, MATERIALS, AND INFORMATION PROVIDED BY CALIFORNIOS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALIFORNIOS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
CALIFORNIOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALIFORNIOS MANUFACTURING LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR: (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION); OR (B) ANY AGGREGATE LIABILITY EXCEEDING THE GREATER OF (I) THE TOTAL AMOUNTS YOU PAID TO CALIFORNIOS FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (II) ONE THOUSAND U.S. DOLLARS (USD $1,000.00).
THESE LIMITATIONS SHALL APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF CALIFORNIOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
14. Indemnification
You shall defend, indemnify, and hold harmless Californios Manufacturing LLC, its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, actions, suits, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your breach of these Terms; (ii) your User Content, including any claim that your User Content infringes or misappropriates the intellectual property or other rights of any third party; (iii) your use of the Services in violation of applicable law or these Terms; or (iv) your products or services that incorporate or use parts supplied by Californios.
15. Compliance & Export Control
You agree to comply with all applicable U.S. and foreign laws, statutes, ordinances, and regulations regarding your use of the Services and your purchase and use of parts, including but not limited to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), Office of Foreign Assets Control (OFAC) sanctions, and U.S. anti-boycott regulations. You represent and warrant that you are not a Restricted Party (as defined by U.S. export control laws). You will not request Californios to manufacture or export parts that are subject to export restrictions or require export licenses without prior written notice and providing all necessary documentation and obtaining such licenses at your expense.
16. Privacy, CPRA & California Privacy Rights
Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and share personal data. California residents may request (once per calendar year) a list of the categories of personal information we disclosed to third parties for their direct marketing purposes in the preceding calendar year, and the names and addresses of those third parties. Please submit such requests to contact@californiosmfg.com or by mail to the address listed in the Contact Information section below (Section 27).
Additional rights for California residents under the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA)—including rights of access, deletion, correction, and the right to opt out of the sale or sharing of personal information—are detailed in our Privacy Policy and can be exercised by visiting our Do Not Sell or Share My Personal Information page or by calling +1 (214) 886-6262.
17. DMCA Notice & Takedown Policy
Californios respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify Californios' copyright agent as set forth in the Digital Millennium Copyright Act of 1998 (DMCA). For your complaint to be valid under the DMCA, you must provide the following information in writing:
- An electronic or physical signature of a person authorized to act on behalf of the copyright owner;
- Identification of the copyrighted work that you claim has been infringed;
- Identification of the material that is claimed to be infringing and where it is located on the Service;
- Information reasonably sufficient to permit Californios to contact you, such as your address, telephone number, and e-mail address;

20. Modifications to Terms
We reserve the right to modify these Terms at any time in our sole discretion. If we make changes to these Terms, we will post the revised Terms on the Services and update the "Last updated" date at the top of these Terms. For material changes, we will provide you with reasonable notice, such as by sending an email to the email address associated with your account at least thirty (30) days before such material changes take effect, or by otherwise prominently posting notice of the changes on our Services. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
21. Termination
We may, in our sole discretion, suspend or terminate your account and access to the Services, with or without notice, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms, or if you engage in any conduct that we deem to be misuse of the platform. Upon termination, your right to use the Services will immediately cease. Sections 5 (User-Submitted Content), 6 (Acceptable Use), 7 (Intellectual Property), 8 (Confidentiality), 11 (Limited Warranty), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 15 (Compliance & Export Control), 22 (Governing Law & Dispute Resolution), 23 (Class Action Waiver), 25 (Entire Agreement & Severability), and 26 (Automatic Renewal Policy) shall survive any termination of these Terms.
22. Governing Law & Dispute Resolution
These Terms and any action related thereto will be governed by the laws of the State of California, U.S.A., without regard to its conflict of law provisions.
Good-Faith Negotiation: The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") informally and in good faith for at least thirty (30) days before initiating any arbitration or court proceeding.
Arbitration: If the parties are unable to resolve a Dispute through informal negotiations, then, except as otherwise provided herein, the Dispute will be finally and exclusively resolved by binding arbitration in San Diego County, California, administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted by a single neutral arbitrator. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction thereof. Each party shall bear its own costs and expenses and an equal share of the arbitrator's and administrative fees of arbitration. Nothing in this Arbitration provision precludes either party from filing a claim of sexual assault or sexual harassment in a court of competent jurisdiction, as permitted under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act (9 U.S.C. § 402).
23. CLASS ACTION WAIVER
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CALIFORNIOS MANUFACTURING LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
24. Force Majeure
Californios shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, labor disputes or shortages, transportation facility shortages, fuel or energy shortages, or acts or omissions of common carriers or suppliers (each a "Force Majeure Event").
25. Entire Agreement & Severability
These Terms, together with our Privacy Policy, any separately signed quotation or order acknowledgment issued by Californios, and any Non-Disclosure Agreement executed between the parties, constitute the entire and exclusive understanding and agreement between Californios and you regarding the Services and orders, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Californios and you regarding the same. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
26. Automatic Renewal Policy
Californios does not currently offer services with automatic renewals. Should this change, these Terms will be updated to comply with the California Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600-17606), including but not limited to providing clear and conspicuous pre-checkout disclosures of renewal terms, obtaining affirmative consent, sending post-order email confirmations with renewal terms and cancellation information, and offering easy online cancellation methods.
